please advise - f-1 to h1-b withoout completing PhD

hi
am on a f-1 visa thru 2007 for a phd - after 2 semesters did an internship as CPT - curricular practical training. Company has offered to sponsor H-1 and GC.

could you please advise me on

1) f-1 to H-1 without completing degree.
2) impact of non-completion of degree on Gc
please note: i don't have a ms - came straight after btech for PhD

2. It is very subjective. Difficult to say anything.
