My L1 visa will expire in Aug-2012 but I have a valid I-94 till 2014.
Can I stay in US on I-94? If yes, do I need to do any formality or any visa documentation to continue to stay on I-94?

Deepak, I believe your query has been answered multiple times. Yes, you can continue to stay on you present I-94. Few things though, you have to maintain your L1-Status i.e. you have to get paid regularly from your present employer. In case you have to leave US for any reason whatsoever, after August 2012, you cannot enter without getting a fresh stamping. This is my opinion, please seek expert help too.
The above is correct. Visa has nothing to do with duration of authorized stay. It is the I-94 that determines your stay. Valid Visa is needed for traveling to the US.
