In case of changing to H1 COS is not a separate process/form. It is done on the same I-129 petition by the employer.
H1 petition can be filed anytime before Sep 30,2011 or the day cap is met whichever comes earlier. The cap is still wide open and expected to remain open for at least a month or two going by the current rate.

Your understanding is totally wrong. COS (Change of status) means changing the immigration status from one one type to another. In your case, L1 to H1B. Until the CAP remains open, you can file the H1B in COS (new I-94) or Consular process (No new I-94. need to get the h1B visa stamped to work). If you already have an H1B, then the only advantage is, you can apply the H1B anytime using the old CAP and don't have to worry about the current year's CAP getting closed.

---- If the USCIS does not close the H1 by OCt 1., you can do a COS from L1 to H1 for a H1 2010 (fiscal year 2011)
