I am planning to do L1 new office setup. I will be investing in three businesses. The way I am planning to structure my business is like this
USA COMPANY "1" registered 100% Share
Company "1" invest in Company A (51%), Company B (51%) and Company C (100%).
Hence, company "1" is the parent company which is investing in other companies. The reason I want to structure such way is coz all company 1,2,3 have different 49% share holders. They are different industry and different partners.
My lawyer says that doing makes my case weak as per recent ongoing analysis. Lawyer says that I should put ALL three companies under ONE company. This is not possible for me as all partners are different. Lawyer says if you cannot merge all in one, then just go by one business only.
What do you guys suggest? Did anyone face such situation?
