Business visa - some problem

Hi everyone. I got such situation. I have a internet project. i developed it with my friend. 2 month ago i found a programmer to realize it. Now i want to go to the usa and sign non-disclosure agreement, then i will register a company for web site. For our agreement i will take a part as a ceo my friend as coo and the guy from usa will a cto. (for the beginnig i`ll work on scratch programmer will write it and my friend will find people to join us and the people who will invest for our work - that`s our plan) So i don`t know what kind of visa do i need. So here is a problems with visas - if B-1\2 - then we can not work in usa and take part as the member of board and register a company. if E-1\2 then we will not put an investment to the work. all investment will fee`s for registering site, business registering fees and our own intellectual property. if L-1 then we don`t have a company to create it`s branch. If H1 - then we cannot work in the company which is not excise. we will create it after two month of when agreement signed.
