H1B transfer while in India, not traveled to US yet

I have got my H1B visa stamped in Jan 2013 from Company A, while in India.

I have not traveled to US yet. The visa is valid till 2015

Company B from US is interested in H1B Transfer in a premium processing. I have cleared Company's Client interview, hence there is no issue with Client letter & related documents required for H1 transfer.

Queries:
1. Can Company B file for cap exempt H-1B petition for me based on my existing H-1B petition approval / H1B Stamped visa.
2. Is it legal to enter US on Company A's H1B Stamped visa & company B petition Approval
3. Don't I required to go for visa stamping again for Company B.

1. Yes, They can file cap exempt petition for you.
2.No, it is not illegal.
3. You don't need to go for visa stamping as you have valid visa stamped on your passport until 2015.
