H1B Visa Expires, I 797 & I 94 are valid, can I legally stay in US

Hi,
My Visa expires on Apr 28 2009 and my I 797 & I 94 are valid till Sep 12 2010.
As of now I am in US.

1. After my visa expires (on Apr 28 2009) can I still stay in US, is it legal or Will I be out of status ?
2. If I go out of US, do I have to get my Visa stamped before re entry in to US?

Any help in this regard is highly appreciated, thanks in advance

--- you can stay , visa is for entering into USA , if you want to go outside USA then you need visa stamp. valid I797 & I94 is ok to stay & work you will never outof status if you get paid by employer.
