New H1B approval but old H4

Hi,
my H1B and my wife H4 visa stamp and visa approval both valid till 30 jan 2005 with my old company, mean time i changed company and got new visa approval till 2007, for some reason i got delayed in applying for my wife H4 extension. i am visiting india and planning to stamp on H1B there.
i have following doubts.....
1. if i get stamped with the new visa approval and my wife does not get stamped can she come with old i-94,( old visa stamp is till 30 jan 2005 and we are returning on 30 dec 2004), any complications?
2. if i don't go for stamping in india, is there any complications for reentering in USA? because of only 30 days remaining in visa stamping expire, even though i have new visa approval till 2007.
need your expert comments and best suggestions in the situation.
