New H1B transfer, spouse in India. Does she need to go for stamping ?

I got my H1B transfered to a new employer recently. Currently, my family is in India and are planning to come by end of June '10. Her H4 has my previous employer's name on it. So, my question is whether she needs to go for a fresh round of H1B stamping based on my new I797 or not ?

No. She can travel on old visa stamp.

even though she'll be coming after 4 months from now ?? What should be her response to the immigration officer at the port of entry if she is asked.. "Is the holder of H1B still with the same company as mentioned in your visa ?"

You need not be with same company. All you should do is to maintain a valid H1 status.
