H1B Validity and Transfer

Hi All and Immihelp,
I had got my H1B stamped through one indian IT Company and the Visa is valid till December 2006. But I am no more in their pay role since May 2004. Recently one American company approached me and asked me will you be interested to transfer your H1B, when I told them I have a valid H1B. My doubt is:

Is it really a valid H1B as I am no more in their payrole ? Will I be able to transfer it if any American company try this for me ?

You are out of status if you are not on payroll and you can't do H1 transfer.
